摘要: We study changes in board characteristics U.S. public firms between 1997 and 2003. During that period boards become smaller more independent, there are fewer cases of interlocking directorships a decrease multiple directorships. also find director background: an increase the number directors with financial background industrial background. Some occur already 2000. However, we larger 2000 2003, conjunction corporate scandals new governance rules. little change stake independent separating CEOs from chairman position.
